Preamble

We, the members of the ISOUL Global Women’s Association, unite to build a global institution for the world’s most exceptional women entrepreneurs, experts, executives, investors, and thought leaders.

ISOUL was founded in Silicon Valley on the conviction that the most meaningful progress in business and society happens when extraordinary women are brought together with intention — not by algorithm, not by proximity, but by demonstrated excellence, shared values, and the mutual recognition of peers.

This is a selective institution. Membership is earned, not purchased. Admission is governed by merit, evaluated by our leadership, and confirmed only when an applicant’s professional trajectory and values align with the Association’s mission.

Through this Constitution, we formalize our shared mission: to empower exceptional women to lead with purpose, scale ventures that matter, and shape the future of global business and culture through technology, innovation, conscious leadership, and collective accountability to one another and to the world we build.


Article I. Name and Legal Status

The name of this organization shall be the ISOUL Global Women’s Association (hereinafter referred to as “ISOUL” or “the Association”).

ISOUL operates as a private international association. Its legal entity, ISOUL LLC, is registered in Boston, Massachusetts, USA (6 Liberty Square, Boston, MA 02109).

ISOUL maintains an active presence in 29+ countries across North America, Europe, the Middle East, Asia, Latin America, and the CIS region, with officially recognized regional chapters and appointed chapter leaders.


Article II. Mission and Objectives

The mission of ISOUL is to cultivate a world-class global ecosystem for conscious, results-driven women leaders — an ecosystem defined by excellence in admission, integrity in practice, and transformative impact in the world.

The Association’s Objectives

1. Build a World-Class Ecosystem

Provide members with curated access to a global network of peers — founders, investors, executives, and innovators — through private channels, exclusive platforms, and global gatherings that could not be replicated outside this institution.

2. Integrate Technology and Conscious Leadership

Drive evolution in business and society through the fusion of AI-powered tools, innovation practices, and emotionally intelligent, values-driven leadership. ISOUL is among the first women’s associations globally to embed AI fluency as a core leadership competency.

3. Amplify Global Influence

Elevate women’s visibility and authority in entrepreneurship, innovation, investment, and public discourse — on international stages, in the press, and through recognition programs with institutional integrity.

4. Facilitate High-Caliber Global Networking

Enable strategic cross-border collaborations, joint ventures, and meaningful alliances between women leaders who have been vetted for excellence and are prepared to engage at the highest level.

5. Accelerate Business Development

Offer members access to structured growth experiences: masterminds, accelerator programs, expert-led workshops, investor connections, and co-creation opportunities designed to scale impact.

6. Strengthen Personal Capacity and Resilience

Champion sustainable high performance through mindset development, well-being practices, and emotional resilience — because durable leadership is whole-person leadership.

7. Advance Knowledge and Global Competency

Provide members with expert-led educational sessions, curated business intelligence, and language and communication programs to sharpen capability for global leadership.

8. Recognize and Honor Excellence

Through the annual ISOUL Women Leadership Award, formally recognize women who have achieved exceptional results — creating a documented record of distinction that carries weight in professional, legal, and reputational contexts worldwide.


Article III. Ecological Principles and Community Standards

ISOUL is built on the premise that a high-performing community requires a healthy, ethical environment. We call these our Ecological Principles — the foundation for how members relate to one another, to information, and to the world.

Section 1. Ecological Communication

Members of ISOUL commit to a standard of communication that is:

  • Clean and truthful — free from manipulation, misinformation, or self-promotion that misrepresents reality
  • Non-competitive in spirit — success within ISOUL is collective; members are peers, not competitors
  • Confidential where required — information shared in private ISOUL spaces is held in trust and may not be redistributed without consent
  • Constructive in disagreement — criticism is welcome when it builds; it is never used to diminish

Section 2. Environmental and Social Responsibility

ISOUL recognizes that business leadership and global citizenship are inseparable. Members are encouraged to integrate sustainable, environmentally conscious practices into their ventures and to use their platform and influence to advance equity, inclusion, and responsible innovation.

The Association actively selects partners, vendors, and event venues aligned with ecological and social responsibility standards.

Section 3. Psychological Safety and Inclusion

ISOUL maintains a zero-tolerance policy for harassment, discrimination, or conduct that undermines the dignity of any member. Members come from 29+ countries, diverse cultural backgrounds, and varied life experiences. This diversity is the Association’s intellectual and creative strength.

The Association is committed to building an environment where every member can lead with full confidence, visibility, and support — regardless of nationality, language, age, or professional stage.

Section 4. Information Ecology

In an era of information overload, ISOUL maintains a curated, high-signal environment. Community channels are moderated to ensure that shared content meets standards of quality, accuracy, and relevance. Spam, unsolicited solicitation, and low-quality content are removed. Members are responsible for the integrity of what they contribute.


Article IV. Membership — Selectivity and Standards

Section 1. Nature of Membership

Membership in the ISOUL Global Women’s Association is among the most selective in the international women’s leadership space. ISOUL does not offer open enrollment. Every member is admitted individually, evaluated on merit, and confirmed by association leadership.

Admission to ISOUL is a recognition in itself — a signal from a credentialed international body that a woman’s professional trajectory, leadership character, and values are of the caliber this institution exists to serve.

Section 2. Membership Tiers

Annual Member (ISOUL Resident)

Core membership. Full access to the ISOUL global community, events, masterminds, educational programs, member directory, mobile platform, and the ISOUL Business Accelerator. Awarded to professionals who meet the eligibility criteria and are admitted by the Association.

ISOUL Board Member

Senior membership and regional chapter leadership. Board Members are appointed — not self-nominated — by the Founder and Executive Leadership on the basis of demonstrated leadership, alignment with ISOUL’s mission, and the capacity to build and sustain a regional chapter. Board Members host events, represent ISOUL in their country or city, and formally extend the Association’s mission. This is the Association’s highest membership designation.

ISOUL Ambassador

Community leadership role for members who actively drive growth, visibility, and engagement within ISOUL’s ecosystem. Ambassadors are selected from the existing member base.

GRAND CAPITAL — Investor and Mentorship Circle

An exclusive tier for angel investors, venture partners, and senior executive mentors who actively support ISOUL’s accelerator and pitch programs. Membership is by invitation only and subject to separate qualification criteria.

Section 3. Eligibility Criteria

To be considered for Annual Membership, applicants must meet a minimum of three (3) of the following six (6) criteria:

1. Demonstrated recognition in their field through awards, substantive press coverage, or major speaking engagements.

2. A track record of founding or leading a successful company, startup, or institutional initiative.

3. Endorsement from an existing ISOUL member or a recognized industry professional.

4. Proven leadership in business, innovation, investment, education, or thought leadership.

5. A publicly visible body of work: a portfolio, published intellectual property, or documented professional impact.

6. International experience or active participation in impact-driven, cross-border initiatives.

Meeting three criteria establishes eligibility. Final admission is determined by ISOUL’s evaluation process and is granted solely at the Association’s discretion.

Section 4. Admission Procedure

The application and review process for Annual Membership includes:

1. Formal application submitted via ISOUL’s official channels or direct referral by an existing member.

2. Initial screening by ISOUL-appointed curators against the eligibility criteria.

3. Mandatory interview with an ISOUL representative to evaluate alignment with the Association’s values, mission, and community standards.

4. Final review by the admissions committee or designated ISOUL authority.

5. Formal admission notice issued upon approval.

Submission of an application does not create a contractual obligation on ISOUL’s part. ISOUL reserves the right to decline any application at its discretion, without obligation to provide a reason.

Section 5. Member Responsibilities

Members of ISOUL are expected to:

  • Maintain professional integrity in all interactions within the community
  • Contribute actively — through engagement, knowledge sharing, and peer support
  • Uphold the Ecological Principles set out in Article III
  • Protect the confidentiality of other members’ information shared in private Association spaces
  • Represent the Association’s values in public and professional contexts

Section 6. Membership Revocation and Resignation

Membership may be revoked at ISOUL’s discretion in cases where a member’s conduct contradicts the Association’s principles, Community Standards, or Ecological Principles, or where continued membership would be incompatible with the Association’s integrity or mission.

Voluntary resignation must be submitted in writing to isoul.wc@gmail.com.


Article V. Governance and Leadership

Section 1. Founder and Strategic Director

Jane Milovanova is the Founder and Strategic Director of ISOUL. As a Silicon Valley–based serial entrepreneur, global speaker, and authority on conscious leadership and AI-integrated business practices, she provides vision, strategic direction, and final authority on matters of organizational governance, membership standards, and the Association’s mission and evolution.

Section 2. Leadership Structure

ISOUL Board Members are appointed leaders of regional chapters, currently active in 6+ countries including the United States, Ukraine, Israel, UAE, and others. Each Board Member hosts local and regional events, leads their community, oversees regional membership, and formally extends ISOUL’s global mission in their geography. Board Members are public ambassadors of the Association in their country.

Executive Leadership oversees global operations, strategic partnerships, platform governance, and international program development.

GRAND CAPITAL — Investor and Mentorship Circle comprises influential mentors, investors, and senior advisors who provide strategic guidance and capital access to ISOUL’s accelerator and pitch programs.

Admissions Committee conducts applicant review and makes membership admission recommendations in accordance with the criteria and procedures set out in Article IV.


Article VI. Programs and Signature Initiatives

Section 1. Monthly Programming

ISOUL delivers 20+ programming sessions monthly, including:

  • Leadership masterminds and peer advisory sessions
  • Industry-specific expert roundtables
  • AI and technology integration workshops
  • Business communication and international leadership classes
  • Founder wellness and performance practices

Offline experiences include invitation-only networking dinners, private salons, and international summits held across Silicon Valley, Europe, the Middle East, and beyond.

Section 2. ISOUL Women Leadership Award

The ISOUL Women Leadership Award is the Association’s annual international recognition program, honoring exceptional women leaders across seven (7) award categories:

  • Entrepreneur of the Year
  • Innovator of the Year
  • Global Visionary Leader
  • Top Influencer
  • Rising Star
  • Investor in Women
  • Impact in Women’s Lives

Selection process: Each category’s finalists are identified through a nomination and review process overseen by an independent, international Expert Jury — professionals from multiple countries, selected on the basis of recognized authority, expertise, and impartiality. Jury members are themselves accomplished leaders invited by merit. The selection of Top 4 Finalists per category is conducted through standardized evaluation criteria. Winners are announced and recognized at a formal Award Ceremony.

Award ceremonies to date:

  • 2025 — Silicon Valley, California (Inaugural Edition)
  • 2026 — Los Angeles, California

The Award Ceremony draws 100–300 attendees from across ISOUL’s international membership, and is covered by press and media representatives in attendance.

Section 3. ISOUL Business Accelerator

An 8-week strategic program for scale-up founders within the ISOUL membership. Access is exclusive to Association members. The Accelerator focuses on international expansion, investor readiness, and growth systems.

Section 4. Additional Signature Programs

  • Quarterly International Networking Summits
  • Curated Visibility Opportunities: media placements, stage appearances, podcast features, and speaking engagements
  • Investor-Ready Pitch Events in partnership with the GRAND CAPITAL Circle
  • Annual ISOUL Global Impact Report documenting the Association’s reach and member achievements

Article VII. Global Chapters

ISOUL currently maintains active chapters in 6+ countries, each led by an appointed ISOUL President. Regional chapters are not franchises — they are extensions of a single global institution, operating under a shared governance framework, shared values, and shared standards of excellence.

Each chapter President:

  • Builds local visibility, credibility, and strategic partnerships for the Association
  • Hosts regular in-person events and recruits new members in their region
  • Reports to ISOUL Executive Leadership on chapter activities and community health
  • Represents ISOUL at regional conferences, media, and public events

Chapter leadership roles are open exclusively to existing ISOUL members who demonstrate sustained commitment to the Association’s mission and a community-building capacity in their region. Applications are evaluated and appointments made by ISOUL Executive Leadership.


Article VIII. Financial Management

Section 1. Revenue Streams

ISOUL is funded through:

  • Annual membership fees
  • Premium accelerator and program revenue
  • Investor support through the GRAND CAPITAL Circle
  • Corporate sponsorships and strategic alliances
  • Event and media partnerships

Section 2. Financial Integrity

The Association adheres to responsible financial practices with internal oversight and transparent reporting. Revenue is directed toward operational excellence, program delivery, member services, and global expansion.


Article IX. Equity, Inclusion, and Global Reach

ISOUL serves women of all cultural backgrounds, nationalities, professional disciplines, and stages of career. Our membership spans 29+ countries. The Association’s working languages include English, Russian, Ukrainian, and Spanish.

We believe inclusive leadership is high-performance leadership. Diverse perspectives — across culture, geography, industry, and lived experience — are not a concession to fairness; they are a source of competitive advantage and creative depth.

Discrimination of any kind — on the basis of nationality, ethnicity, religion, age, or background — is incompatible with membership in ISOUL and grounds for immediate revocation.


Article X. Amendments

This Constitution may be updated by Executive Leadership to reflect the evolving needs of the Association. Significant amendments require documentation of rationale and, where appropriate, consultation with the ISOUL Board Members’ Council and senior membership. An internal two-thirds majority approval is required for ratification of amendments that alter core governance or membership criteria.


Article XI. Governing Law

This Constitution and the governance of ISOUL LLC are governed by the laws of the Commonwealth of Massachusetts, United States.
